This agreement is between your company or business ("You", "Your" and "Yours") and McLaren Automotive Incorporated ("McLaren", "We", "Us" and "Our"). The provisions of these terms and conditions govern Your access to the McLaren Tech Info Website located at www.mclarentechinfo.com (the "Website"), and Your use of the technical information and services on it (the "Materials"). By using the Website, including, without limitation, by purchasing access to Materials on the Website, You agree to be bound by the terms and conditions set forth or referred to in these Terms and Conditions of Registration and Use, ("Terms and Conditions") as well as in other pages of this Website ("Additional Terms").

By registering on this Website You confirm that You meet the following conditions:

- You are a suitably qualified and experienced independent automotive-related service or repair business with a genuine need to access the Materials;
- You have the authority to enter into this Agreement;
- You will fully and accurately complete the online registration form and forward it to McLaren.
- You will pay the Subscription fees

Upon McLaren's approval of Your registration form You will be granted a username/password to enable You to access the Website. McLaren reserves the right in its absolute discretion to refuse to register users or to decline applications. You must treat such information as confidential. It is Your responsibility to keep Your username / password secure at all times and divulge it only to those employees or members of Your business who have Your authority to access the Website. You will be liable for all transactions and costs incurred on the Website under Your password. McLaren cannot be held liable for any losses You suffer or incur as a result of Your failure to keep Your username/password secure.

The usage charges for accessing any Materials are shown under the Subscription Tariff on the website home page. All payments on the Website must be made in US Dollars using a valid credit card, debit card or PayPal account. Transactions made through McLaren Tech Info will be in US Dollars, if you wish to pay with any other currency, the exchange rate and any additional transaction charges will be controlled and applied by the issuing bank and not McLaren. McLaren cannot be held liable for any additional charges incurred in respect of this.

Before signing up or renewing your subscription, please note McLaren does not offer refunds after you have accepted the Terms and Conditions, paid for a subscription and have successfully logged into the site.

In consideration of payment by You of the Subscription Fee and any other sums due from You to Us and subject to the restrictions contained herein McLaren grants You a non-exclusive and non-transferable right to allow You to use the Materials for Your own internal business purposes in the following ways and for no other purposes whatsoever:

(a) You may access and view the Material and may retrieve and display the Material from the Website on a computer screen and/or print individual pages on paper and/or make a reasonable number of photocopies and/or store such Materials in electronic form on Your computer's local hard-disk for Your personal, non-commercial use only. You may not otherwise copy, distribute, sell, publish or commercially exploit and of the Materials without McLaren's prior written permission. This authorisation is not a transfer of title to or in the Materials or copies of the Materials, and is subject to the following restrictions:

- You must retain, on all copies of the Materials downloaded, all copyright and other proprietary notices contained in the Materials;
- You may not modify the Materials in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose;
- You must not transfer the Materials to any other person.

(b) Except as specifically permitted herein, no portion of the Materials and other information on this Website may be reproduced in any form or by any means without prior written permission from McLaren. If you do not comply with this obligation McLaren will be entitled to suspend Your access to the Website and/or terminate this agreement with immediate effect. Any unused Credit Balance will be retained by McLaren by way of damages in respect of any loss that McLaren suffers as a result of Your breach of this clause.
(c) This Website may only be used for lawful purposes. Users are prohibited from violating or attempting to violate the security of this Website or using it to obtain products not properly ordered and fully paid for. You may not interrupt or attempt to interrupt the operation of this Website in any way or send unsolicited email messages ('Spam') to or through this Website or otherwise harass the site owner, provider, or other users.

Access to the Materials is intended to allow You to undertake repair or servicing work. This work should only be carried out by trained, fully qualified automotive mechanics with up-to-date skills. Where a special tool is referred to in the Materials, it is essential that this tool is used for proper repairs. McLaren will not be liable for any losses you incur or suffer, as a result of Your failure to comply with this clause.

In respect of modifying McLaren vehicles, you agree to the following:

The warrant for the design, materials and construction must be for a period at least equal to the applicable McLaren warranty.

In addition to the above, You agree to release McLaren from all claims by any third party for any cost or loss (including any consequential damages) arising from their modifications to any vehicle unless McLaren has given its prior written consent to such liability. You shall be liable for any product liability (whether for death, personal injury or property damage) arising from any modification to a McLaren vehicle or component made by You or any of Your agents.

All intellectual property rights in the Materials and all other text, images, graphics, animation, videos, music, sounds, software and other information contained in the Website, the software and products available for download from the Website and the data collected by the Website (the "Content") including but not limited to patents, copyright, database right and trademarks belong to McLaren, its associated companies or its Licensors.

You shall indemnify McLaren, its officers, directors, employees, representatives, agents, parent companies, subsidiaries, or affiliates and hold McLaren, its officers, directors, employees, representatives, agents, parent companies, subsidiaries, or affiliates harmless for any demands, losses, liabilities, claims and expenses (including legal costs and expenses) arising out of or connected with:
(i) You rendering the Materials inaccurate or incomplete (by act or omission) or modifying them by data input or manipulation;
(ii) Your use of this Website
(ii) Your use of the Materials; or
(iii) any breach of this agreement.

Where any court determines that McLaren is liable to You for whatever reason:

McLaren shall not be responsible to You for any loss of profit and/or loss of business and/or depletion of goodwill and/or consequential loss suffered by any person and/or costs or expenses which arise out of or in connection with this agreement.

Although McLaren's customer service representatives endeavour to provide You with appropriate advice and suggestions, no such advice or suggestions, whether given orally or in writing, will create any warranty of any kind.

These Terms and Conditions are made only in the English language. If there is any conflict in the meaning between the English language version and any version or translation of it in any other language, the English language version shall prevail.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict of laws provisions. Application of the U.N. Convention on Contracts for the International Sale of Goods is hereby excluded from these Terms and Conditions, and any related transactions. Disputes arising hereunder shall be subject to the non-exclusive jurisdiction of the Courts of the state and federal courts for New York County, New York.
